Job purpose

 

The Deputy General Counsel is part of a small legal team and the sole member of the legal team in North America and reports to the General Counsel who sits in the company’s European HQ.  

 

The DGC will be responsible for managing all legal and insurance matters in the US, primarily litigation, drafting, negotiating and reviewing commercial contracts relating to customer and supplier agreements, site leases, site service agreements and other legal documentation, employment and environmental matters. In addition, the Deputy General Counsel will support the General Counsel on corporate governance, finance and M&A matters and support the legal operations team.

 

 

Main tasks and responsibilities

 

  • Manage litigation and disputes including liaising with external counsel and stakeholders to resolve disputes effectively.
  • Draft, review and negotiate a range of commercial contracts including agreements with customers and suppliers, site related matters such as site service agreements, ground lease agreements, licenses and permits etc.
  • Provide legal advice and support for employment matters.
  • Provide legal advice and guidance on environmental matters, including compliance with environmental regulations.
  • Manage the US related insurance policies and claims.
  • Support the General Counsel on finance and M&A matters, including due diligence, transactional work and other relevant issues.
  • Support the legal operations team and work closely with internal stakeholders to ensure effective contract management and compliance.

 

Education requirements

 

  • JD or equivalent degree from an accredited law school
  • Admission to the bar in one or more states

 

Background and experience

 

  • Strong track record of managing a wide range of legal matters in the chemical or a related industry.
  • A minimum of 8 years’ experience in the chemical or similar industry, with experience in managing a wide range of legal matters
  • Excellent drafting and negotiating skills
  • Significant experience in litigation matters
  • Solid understanding of employment and environmental regulations
